Software License Agreement for Insilicos Proteomics Pipeline

PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY.  BY CLICKING THE "ACCEPT" OR "YES" BUTTON, OR BY INSTALLING, DOWNLOADING, OR USING THE SOFTWARE, OR BY OPENING THE PACKAGE, YOU ARE CONSENTING TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT WITH INSILICOS, LLC.  IF  YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "DO NOT ACCEPT" OR "NO" BUTTON AND DO NOT  USE, INSTALL OR DOWNLOAD THE SOFTWARE (AND, IF APPLICABLE, DO NOT OPEN THE PACKAGE AND  RETURN IT TO INSILICOS).  INSILICOS WILL NOT GRANT YOU A LICENSE TO INSTALL AND USE THE SOFTWARE OR ACCEPT ANY ORDER FOR THE SOFTWARE UNLESS YOU AGREE TO ALL OF THE TERMS OF THIS AGREEMENT.  COPYRIGHT LAWS AND INTERNATIONAL TREATIES, AS WELL AS OTHER INTELLECTUAL PROPERTY LAWS AND TREATIES, PROTECT THIS SOFTWARE.

1. Grant of Licenses.  You are receiving two software programs and hence two licenses.  The two software programs together are referred to in this Agreement as the Insilicos Proteomics Pipeline or IPP.

One software program consists of the Trans Proteomic Pipeline software originally developed by the Institute of Systems Biology ("ISB") and modified by Insilicos ( the "TPP Library").  The TPP Library is licensed to you under a lesser general public license (the "LGPL").  By the terms of the LGPL, you are entitled to certain rights and are subject to certain restrictions relating to the  original and modified TPP Library.  The TPP Library resides in the dynamically linked library ("tpplib.dll" on Microsoft Windows? or "tpplib.so" on Linux?) and is identified by copyright notices referencing the ISB.  The modifications made by Insilicos to the TPP Library are identified by dated notices.  With respect to the TPP Library, you are bound by the terms of this Agreement expressly referencing the TPP Library or Insilicos’ licensors and the LGPL attached to this Agreement as Exhibit A.

You are also receiving software programs developed exclusively by Insilicos (the "Insilicos Software") which is linked to and uses the tpplib.dll or tpplib.so, as the case may be  The Insilicos Software is identified by copyright notices referencing only Insilicos. You are receiving a limited, non-transferable, non-exclusive license, without right of sublicense, to use the Insilicos Software in object code form and associated documentation solely under the terms of this Agreement.  The rights granted herein with respect to the Insilicos Software are limited to Insilicos’ intellectual property rights in the Insilicos Software, and do not include any other patents, copyrights or intellectual property rights.  The terms of this Agreement will govern any software upgrades, bug fixes, revisions, or patches provided by Insilicos that replace and/or supplement the original  IPP, unless such upgrade, revision or patch is accompanied by a separate agreement, in which case the terms of that agreement will govern.

2. Permitted License Uses and Restrictions.  The IPP is licensed, not sold, to you. You may install the IPP on one CPU.  The IPP and all intellectual property rights therein, including code, operation, architecture, implementation, and look and feel remain at all times the exclusive property of Insilicos and its licensors.  You are not receiving any right, title, or interest in the IPP, except to the extent of the licenses expressly granted by this Agreement.  You may not port, publish, modify, translate, reverse engineer, decompile, disassemble, reverse engineer, create derivative works or emulators of the Insilicos Software or otherwise alter or examine it, except to the extent permitted by applicable law.  You may not attempt to circumvent this Agreement in any way, including transferring the IPP to a computer you are not authorized to run it on or attempting to cause the IPP to continue operating on a computer for which the authorization has expired. You may not delete or alter any copyright, patent, trademark, or other proprietary notices of Insilicos, the ISB or anyone else appearing on the IPP.  You may not distribute the Insilicos Software in any form to any third party, and you may not sublicense, rent, lease, sell, transfer, or grant any rights to the Insilicos Software in any form to any third party without the express written consent of Insilicos.  If you violate these terms, Insilicos has the right to seek injunctive or other equitable relief.

Note for Academic Users Only:  If you are an academic user and paid the academic subscription fee, then you may use IPP solely for your internal research purposes. All other uses by any person or entity, including use for commercial purposes, is prohibited.

3. Subscription Fee. Your rights to use the IPP as provided in this Agreement are conditioned upon payment of a subscription fee.  To renew your subscription and continue your rights to use the IPP as provided in this Agreement, you must pay a renewal subscription fee on or before the renewal date and on or before each renewal date thereafter. If your subscription is for one year, then the renewal date is one year after the start of your subscription. Insilicos reserves the right to increase the renewal subscription fee at any time on notice to you.  If you do not timely pay the initial subscription fee or any renewal subscription fee, this Agreement and your rights to use the IPP will terminate as provided in Section 4.

4. Term; Termination. This Agreement will expire on the first anniversary of the date you first  accept this Agreement unless you renew your subscription for an additional period as provided in Section 3.  If you renew your subscription, this Agreement will expire on the renewal date and will continue to renew for additional periods so long as you timely pay the renewal subscription fee. Insilicos reserves the right to cancel your subscription and return the unexpired portion of the subscription fee or decline to renew your subscription if, in the judgment of Insilicos, IPP does not operate satisfactorily in your environment.  This Agreement will automatically terminate if you fail to timely pay the initial subscription fee or fail to timely pay the renewal subscription fee in the case of a renewal.  It will also terminate earlier without notice from Insilicos if you fail to comply with any term(s) of this Agreement.  Upon termination of this Agreement for any reason your right to use the IPP will immediately cease and you agree to destroy all copies of the IPP and related documentation and purge your backup copy of the IPP, if any, from electronic storage.

5. Support.  Insilicos will provide reasonable email support to assist you to install IPP and operate it and reasonable email support to resolve "bugs" or defects that you may encounter. Email support may be obtained through http://www.insilicos.com/support.html.  You agree that Insilicos may use all submissions and feedback that you furnish to it, whether orally or in writing, and you grant to Insilicos a perpetual, unrestricted, irrevocable, and royalty free license to incorporate your comments, suggestions, or other submissions into any Insilicos product or service, including the IPP.  IPP is designed for personnel trained in proteomics techniques, and IPP does not include, and Insilicos does not provide as a part of the standard IPP subscription, training in such techniques.   If you or your organization wish additional support or training in the use of IPP, please contact Insilicos at info@insilicos.com.

6. Limited Warranty;  Disclaimer of Warranty.   YOU ACKNOWLEDGE AND AGREE THAT THE IPP IS OFFERED "AS IS" AND THAT INSILICOS AND ITS LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT WITH RESPECT TO THE IPP.  INSILCIOS AND ITS LICENSORS DO NOT WARRANT THAT THE IPP WILL MEET YOUR REQUIREMENTS, THAT IT IS COMPATIBLE WITH ANY PARTICULAR HARDWARE OR SOFTWARE PLATFORM, THAT THE OPERATION OF THE IPP WILL BE ERROR FREE OR THAT ERRORS WILL BE CORRECTED, OR THAT THE RESULTS WILL SATISFY ANY REGULATORY REQUIREMENTS APPLICABLE TO YOU OR YOUR BUSINESS.  THE ENTIRE RISK AS TO THE RESULTS AND PERFORMANCE OF THE IPP IS ASSUMED BY YOU.  INSILICOS AND ITS LICENSORS DO NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING THE USE OR THE RESULTS OF THE USE OF THE IPP OR DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, QUALITY, RELIABILITY, APPROPRIATENESS FOR A PARTICULAR TASK OR APPLICATION, CURRENTNESS OR OTHERWISE.  NOR ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY INSILICOS OR ITS AUTHORIZED REPRESENTATIVES CREATES A WARRANTY OR IN ANY WAY INCREATES THE SCOPE OF WARRANTIES PROVIDED BY THIS AGREEMENT.

7. Limitation of Liability.  YOU UNDERSTAND AND AGREE THAT INSILICOS WILL NOT BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR DIRECT, CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST DATA, RERUN TIME, INACCURATE INPUT OR OUTPUT, USE OF DIGITAL CERTIFICATES OR SIGNTURE, INABILITY TO ACCESS THE INTERNET, TELECOMMUNICATIONS FAILURES, HACKERS, WORK DELAYS OR LOST PROFITS), ARISING OUT OF THIS AGREEMENT OR USE OF THE IPP OR SERVICES PROVIDED BY INSILICOS, EVEN IF INSILICOS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, REGARDLESS IF ANY ACTION OR CLAIM IS BASED ON CONTRACT, WARRANTY, INDEMNITY, NEGLIGENCE, STRICT LIABILITY OR OTHER TORT, OR OTHERWISE.  In no event will the total liability of Insilicos to you for all damages exceed $50.00.  The limitation in this Section 7 will apply even if all other remedies fail of their essential purpose.

8. Use of TPP Library.   The TPP Library is subject to and governed by Exhibit A, the LGPL, which is incorporated in this Agreement.  You may obtain the source code for the TPP Library from the Insilicos web site where you obtained the IPP at www.Insilicos.com.

9. Export Control.  You may not use or otherwise export or re-export the IPP except as authorized by United States law and the laws of the jurisdiction in which you live. In particular, but without limitation, the IPP may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the IPP, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation,  government and military uses, or the development, design, manufacture or production of nuclear, missiles or chemical or biological weapons.

10. U.S. Government End Users. The IPP and related documentation are "Commercial Items", as that term is defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation", as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. Government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users pursuant to the terms and conditions herein. Unpublished-rights reserved under the copyright laws of the United States. 

11. Controlling Law; Jurisdiction. This Agreement will be governed by and construed in accordance with the laws of the State of Washington, as applied to agreements entered into and to be performed entirely within Washington between Washington residents. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.  You agree that any action under this Agreement shall only be brought in the Superior Court for the State of Washington and expressly consent to the personal jurisdiction of such courts. The prevailing party in any action, whether legal or equitable, to enforce a provision of this Agreement, the prevailing party shall be entitled to recover reasonably attorneys’ fees and costs.

12. Complete Agreement; Amendment; Severability. This Agreement constitutes the entire agreement between the parties with respect to the use of the IPP licensed hereunder and supersedes all prior or contemporaneous understandings regarding such subject matter.  No amendment to or modification of this Agreement will be binding unless in writing and signed by Insilicos. Any translation of this Agreement is done for local requirements and in the event of a dispute between the English and any non-English versions, the English version of this Agreement shall govern. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this Agreement shall continue in full force and effect.  

13. Equitable Relief.   You acknowledge and agree that Insilicos will be irreparably injured by any breach of this Agreement and that, in the event of any such breach,  Insilicos shall be entitled to seek and obtain temporary or permanent equitable or other relief from a court of competent jurisdiction without the necessity of posting a bond or other security.

14. Force Majeure.  Insilicos shall not be responsible for failures of its obligations under this Agreement to the extent that such failure is due to causes beyond its control including, but not limited to, acts of God, war, terrorism, acts of any government or agency thereof, fire, explosions, epidemics,  strikes, acts or omissions of  delivery services or telecommunications providers, embargoes, severe weather conditions, delay in transportation or delay by suppliers or subcontractors.

15. Assignment.  Neither this Agreement nor any interest in this Agreement may be assigned by you without the prior express written approval of Insilicos.  Insilicos may assign, pledge, sell, mortgage or otherwise dispose of all or any portion of this Agreement, provided that such action shall not relieve Insilicos of its obligations to you under this Agreement.
